Terms and Conditions for Swift Charge EV Charging Network Service

These Driver Terms & Conditions (“Driver Terms”) are a legal agreement between the individual who owns or leases a dedicated electric vehicle charger connected to the Swift Charge network (“you”, “your”, “Driver”) and EGrid Systems Inc. (dba Swift Charge), a federal corporation with its principal place of business at 18827 111 Ave NW, Edmonton, AB T5S 2X4, Canada (“Swift”, “we”, “us”, “our”). By registering an account, activating your charger, or otherwise using the Services (defined below), you agree to these Driver Terms and to Swift’s Privacy Policy.

1. Definitions

1.1. “Account” means your registered Swift driver account.

1.2. “Charger” means the electric vehicle supply equipment (EVSE) installed in your assigned stall or parking space.

1.3. “Charging Site” means the property, condominium, or strata location where your Charger is installed.

1.4. “CMS” means Swift’s Charger Management Software platform.

1.5. “Driver Fees” means the amounts charged to you for your charging sessions and related fees under the applicable billing model set by the Site Owner.

1.6. “Payment Method” means a credit card or other form of payment you store in your Account.

1.7. “Party” and “Parties” mean the Driver and Swift.

1.8. “Personal Data” means information that identifies or can reasonably identify you.

1.9. “Services” means access to Swift’s CMS, mobile/web app, and related services enabling you to use, monitor, and pay for charging sessions on your dedicated Charger.

1.10. “Site Owner” means the condominium corporation, strata council, or property owner/manager responsible for the Charging Site.

1.11. “Usage Data” means aggregated and/or anonymized data about use of the Services that does not identify you.

​2. Service Description

2.1. Swift provides the Services to enable you to use and manage your dedicated Charger, authorize and track charging sessions, and process payment of Driver Fees and Transaction Fees.

2.2. The Site Owner determines pricing, billing models, and other site-specific policies. Swift collects Driver Fees on behalf of the Site Owner through the Services.

3. Accounts, Eligibility, Security

3.1. You must be the age of majority in your province/territory to use the Services.

3.2. You agree to provide accurate information and maintain the security of your credentials. You are responsible for all activity under your Account.

​4. Fees, Payments, Refunds

4.1. The billing model for your Charger is determined by the Site Owner and will be communicated to you before activation. The models are:

  • Monthly Billing – Your charging sessions are tracked and aggregated each calendar month, and the total Driver Fees are billed to your Payment Method at month-end. You authorize Swift to automatically charge your Payment Method for the balance owing. If your Payment Method is declined, reversed, or otherwise fails, Swift may assess a $30 CAD NSF/failed payment fee to the Driver.

  • Prepaid Account – You must maintain a prepaid balance in your Account before using your Charger. Charging sessions and applicable fees are deducted as they occur. Swift may set minimum load amounts (e.g., $10) and may automatically reload your Account when your balance falls below a configured threshold.

4.2. Driver Fees will include the actual cost of the electricity used plus the cost for Swift and the Site Owner to manage the Services. As of signing this Driver Terms, this cost is $0.1808 per kilowatt hour (kWh).

4.3. In addition to Driver Fees, a card processing fee of 2.9% plus $0.30 per transaction (collectively the “Transaction Fees”) will be applied and passed on to you. This Transaction Fee will appear as part of your transaction cost when using your Payment Method. The Transaction Fee will be applied once per transaction.

4.4. You will be provided with no less than 30 days’ notice of any change to the Driver Fees or Transaction Fees.

4.5. Swift may place a temporary authorization hold on your Payment Method to verify funds.

4.6. Refunds for failed charging sessions will be issued to your original Payment Method or as an Account credit, depending on the billing model set by the Site Owner. Any chargebacks or disputed transactions may result in suspension of your Account until resolved.

4.7. If the Monthly Billing model is opted, Prices are exclusive of applicable sales taxes (GST/HST/QST) and other taxes unless stated. Such taxes will be added to the Driver Fees and the Transaction Fees.

4.8. If undisputed Driver Fees and/or Transaction Fees remain unpaid for more than thirty (30) days following written notice, Swift may suspend your access to the CMS until payment is made in full.

5. Use of Services

5.1. You must use the Services and your Charger safely, lawfully, and in accordance with instructions provided by Swift and any rules imposed by the Site Owner.

5.2. You must not tamper with, damage, or modify your Charger or the CMS; attempt to bypass or disable authorization or payment features; or resell or share access to the Services without authorization.

5.3. You are responsible for ensuring your Charger connector is safely stored and your stall remains safe and accessible.

6. Data, Privacy, Ownership

6.1. Swift collects and processes Personal Data in accordance with its Privacy Policy (https://swiftcharge.io/privacy-policy).

6.2. Your charging session records that identify you are treated as Personal Data.

6.3. Swift owns Usage Data (aggregated/anonymized statistics). Swift may use Usage Data to operate, secure, and improve the Services and to produce benchmark or analytical insights. By signing the Driver Terms, you give Swift permission to incorporate your Personal Data as part of the aggregated and anonymized Usage Data.

6.4. Swift uses commercially reasonable technical and organizational safeguards to protect Personal Data and session data.

7. Software, Intellectual Property

7.1. The Services, CMS, app, and related materials are owned by Swift and its licensors. No rights are granted except as expressly stated.

7.2. You may not copy, modify, create derivative works, or reverse engineer the CMS, app, or related software.

8. Support

Swift provides customer support for session-blocking issues and account/payment issues. Contact: info@swiftcharge.io.

9. Term, Suspension, Termination

9.1. The term of these Drivers Terms begins on the date it is signed and continues until terminated.

9.2. You may stop using the Services at any time and may request Account closure (subject to payment of outstanding balances). You may not terminate your Account retroactively and are responsible for all Driver Fees and Transaction Fees up to and including the date of termination. 

9.3. Swift may suspend or terminate your access if you breach these Driver Terms, your Payment Method repeatedly fails, you initiate chargeback abuse, or your use creates a security, safety, or legal risk.

9.4. The Site Owner may terminate its agreement with Swift, which will trigger the termination of all Driver Terms, effective on the termination date specified by the Site Owner.

9.5. Upon termination, your right to use the Services ceases. Provisions relating to payments, data, intellectual property, liability, indemnification, and governing law survive termination.

10. Vehicle & Insurance

You are responsible for ensuring your vehicle is safe to charge and for maintaining vehicle insurance as required by law.

11. Warranties, Disclaimers

11.1. The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Swift disclaims all warranties and conditions (express, implied, statutory), including merchantability, fitness for a particular purpose, and non-infringement.

11.2. Swift does not guarantee that a Charger will always be available, uninterrupted, or error-free.

12. Limitation of Liability

12.1. To the maximum extent permitted by law, neither Party is liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

12.2. Except for amounts you owe for unpaid fees or misuse, each Party’s total liability arising out of or related to the Services is limited to the Driver Fees you paid to Swift in the twelve (12) months preceding the event giving rise to the claim.

12.3. Nothing in these Driver Terms excludes liability that cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify and hold Swift, its affiliates, directors, officers, and personnel harmless from claims, damages, costs, and expenses (including reasonable legal fees) arising from your misuse of the Services, breach of these Driver Terms, damage to equipment or property caused by you, or your violation of law.

14. Changes to Terms

Swift may update these Driver Terms from time to time. Material changes will be communicated through the Services and become effective on the stated date. Continued use after that date constitutes acceptance. Swift will provide no less than 30 days’ notice of such changes.

15. Governing Law, Disputes

15.1. These Driver Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

15.2. If a dispute arises, the Parties will attempt to resolve it in good faith. If unresolved after ten (10) business days, either Party may request mediation in Edmonton, Alberta. If not resolved within thirty (30) days of mediation, either Party may bring a claim in the courts of Alberta, Canada, which shall have exclusive jurisdiction.

17. General

17.1. These Driver Terms and the Privacy Policy are the entire agreement for your use of the Services.

17.2. If any provision is invalid, the remainder remains in effect.

17.3. Failure to enforce is not a waiver.

17.4. You may not assign these Driver Terms without Swift’s consent. Swift may assign to an affiliate or in connection with a corporate transaction.

17.5. Neither Party is liable for failure or delay due to causes beyond reasonable control (including utility outages, internet failures, labour disputes, extreme weather, or acts of government).
